Relationship to the public Terms
These Supplemental Terms apply to invitation-only label-portal access. They supplement the public Website Terms. If an executed artist, distribution, services, licensing, employment, contractor, or other agreement expressly conflicts with these portal terms, the executed agreement controls for the subject it governs.
Invitation-only access
Portal access is personal to the invited or authorized user and does not create a record, distribution, management, employment, partnership, fiduciary, or agency relationship by itself. Access can be granted, limited, suspended, or removed according to role, security needs, relationship status, or contract.
Authorized users and roles
Roles can include owner, administrator, artist/client, staff, collaborator, reviewer, accounting access, or another configured permission level. A user may access only information and actions permitted for that role. Attempting to bypass role restrictions or view another client's private information is prohibited.
Account security
Portal users must protect credentials, use multifactor authentication when required, and promptly report suspected compromise. Shared credentials should not be used when individual accounts are available. The operator may terminate sessions, reset access, or require re-verification after a security event.
Statements and financial information
Royalty, earnings, recoupment, expense, payout, or accounting information displayed in the portal is informational unless an executed agreement states otherwise. A dashboard balance is not necessarily a bank balance, immediately payable amount, tax statement, or final accounting. Adjustments can occur because of distributor corrections, returns, fraud adjustments, chargebacks, exchange rates, taxes, fees, contract terms, recoupment, or data received after an earlier statement.
Contracts and documents
The portal may display agreements, drafts, notices, statements, invoices, release information, and other documents. Merely viewing, downloading, marking "reviewed," or acknowledging receipt does not create an electronic signature unless the interface expressly identifies a legally intended signature process and the parties have agreed to use it.
If an electronic-signature flow is later enabled, the service should preserve consent to electronic records, signer identity evidence, timestamps, the exact executed document, audit data, and a downloadable copy.
Messages
Portal messaging is for authorized business communication. Users must not place passwords, complete payment credentials, unnecessary medical data, or unrelated highly sensitive information in messages. Messages can be retained as business records and may be reviewed by authorized administrators.
Tasks, announcements, and project information
Tasks, announcements, deadlines, notes, and status indicators are workflow tools. Unless an executed agreement makes a specific portal entry legally binding, a workflow status does not independently amend a contract or waive a legal right.
Confidentiality
Portal information should be treated as nonpublic unless it is already public or the user has permission to disclose it. Users must not publish another client's contracts, unreleased music, royalty data, private messages, personal information, access links, or internal business records without authorization.
Confidentiality obligations in an executed agreement remain controlling and can be broader than these portal rules.
Uploads and ownership
A portal user represents that they are authorized to upload the material they provide. Uploading does not transfer ownership except as stated in a separate agreement. The operator receives the limited technical permissions necessary to store, review, route, reproduce for authorized business use, back up, secure, and process files within the relationship.
Electronic delivery
Users consent to receive portal notices and documents electronically to the extent permitted by law and any governing contract. Important legal notices may also be sent by email or another method required by the applicable agreement or law.
Availability and maintenance
Portal availability is not guaranteed at all times. Maintenance, provider outages, security events, upgrades, or force majeure can interrupt access. Users should download records they are contractually entitled to keep rather than relying on perpetual portal availability.
Relationship termination
When a relationship ends, access may be restricted or removed. The operator may preserve contracts, accounting records, statements, communications, audit logs, tax records, royalty data, rights information, legal holds, and other records that must remain available for lawful business purposes.
Where appropriate, a user should be given a reasonable way to obtain documents they are legally or contractually entitled to receive.
No authority to bind the label
Unless expressly authorized in writing, a portal user cannot bind Blindbandit Records, sign for another person, incur liabilities on behalf of the label, license another client's rights, or make public statements as an official representative.
Audit and security logs
The portal may maintain logs of sign-ins, access, downloads, document views, administrative changes, security events, consent, and significant actions. Logs should be access-controlled and retained according to the internal schedule and legal needs.
