Actual or potential conflicts should be disclosed, reviewed by disinterested decision-makers, documented and handled with recusal when appropriate.
Budgets, bank accounts, payment authority, reconciliations, restricted funds and material financial decisions should be documented and subject to oversight.
The Foundation maintains governance records, minutes, accounting records, filings, policies and other required corporate records with appropriate retention and security controls.
Good-faith concerns involving fraud, misuse of assets, discrimination, retaliation, conflicts or data-security incidents should have a path for objective review.
Accessibility, nondiscrimination, participant safety and appropriate safeguarding are treated as program-quality and governance responsibilities.
Electronic meetings, notices, signatures, approvals and records may be used when legally permitted and maintained in a reliable, retrievable form.
The Board should periodically review mission progress, finances, conflicts, material obligations, officer performance and significant organizational risks.
