Relationships do not replace fiduciary duties.
Directors are expected to support the charitable mission, exercise independent judgment, protect confidential information, disclose material conflicts, participate in meetings and comply with governance policies. Family or personal relationships do not eliminate disclosure, recusal or disinterested-review expectations.
Historical formation records and any corrections or amendments should be disclosed through the Foundation’s Document Center rather than silently altered.
