Unanimous Board Resolution: Banking, Credit, Payment, Treasury, and Financial Services Authority

Mr. Blindbandit Access and Opportunity Foundation Incorporated
A Virginia Nonstock Corporation
Effective incorporation date: September 30, 2026
Resolution adopted: October 1, 2026

Purpose. This resolution designates the Corporation’s banking and financial authority, establishes who may open and administer accounts and financial products, sets limits on debt authority, and preserves internal controls over charitable assets.

1. Authorized Financial Officers

Only the following four individuals are authorized by this resolution to open, close, establish, change, administer, sign for, or otherwise exercise authority over bank accounts, cards, payment products, treasury services, investment or custodial products, merchant services, and other financial products of the Corporation:

Kaeleb Savon Heck
President · Chief Executive Officer · Director
Emma Hinabe Heck
Executive Vice President · Chief Operating Officer · Director
Celyne Richell Heck
Treasurer · Chief Financial Officer · Director
Eileen Hooper Anderson
Secretary · Chief Governance Officer · Director

No other director, officer, employee, volunteer, contractor, agent, or representative may independently open or close a financial account, establish a credit or payment product, add or remove an authorized signer, or otherwise bind the Corporation to a financial institution unless the Board later grants that authority in writing.

2. Full Scope of Financial Authority

Deposit and cash-management accounts

The four Authorized Financial Officers may open, maintain, modify, renew, convert, or close checking, savings, money-market, certificate-of-deposit, sweep, reserve, operating, payroll, grant, restricted-fund, and comparable deposit or cash-management accounts in the Corporation’s legal name. They may select institutions and account types, deposit and endorse items, move funds, and manage account features consistent with approved budgets, restrictions, grants, contracts, and Board policy.

Online, mobile, ACH, wire, and electronic banking

They may enroll the Corporation in online or mobile banking; establish authentication methods and user profiles; initiate or approve ACH transactions, wires, book transfers, bill payments, electronic checks, remote deposits, mobile deposits, positive-pay services, stop-payment requests, and other ordinary electronic-banking or fraud-prevention services. They may assign limited operational or view-only access without transferring account-opening authority.

Debit, credit, charge, purchasing, and corporate cards

They may apply for, establish, administer, replace, suspend, or close corporate debit cards, ATM cards, credit cards, charge cards, purchasing cards, procurement cards, prepaid or controlled-spend cards, virtual cards, and similar products used solely for Corporation purposes. They may set spending and merchant controls, request cards for authorized personnel, manage alerts, and dispute unauthorized or erroneous transactions.

Merchant and payment-processing services

They may establish or terminate merchant accounts, payment gateways, card-processing services, digital-wallet acceptance, donation-processing services, ACH collection services, point-of-sale products, and payment-processor accounts; link settlement accounts; designate administrators; resolve chargebacks; and maintain settlement instructions.

Treasury, savings, investment, and custody products

They may establish ordinary treasury-management services, insured cash-management products, sweeps, certificates of deposit, short-term savings instruments, and investment or custodial accounts consistent with Board-approved policy. Speculative, leveraged, margin, derivative, or materially risky investment activity requires specific Board approval.

Checks, payroll, vendor payments, safe-deposit, and custody services

They may sign and administer checks, drafts, deposit items, cashier’s-check requests, payment orders, payroll services, direct deposit, tax-payment services, vendor-payment platforms, controlled disbursement, reconciliation services, safe-deposit boxes, lockbox services, and related custody arrangements.

KYC, tax, regulatory, and institution paperwork

They may complete and sign account applications, signature cards, certifications, tax forms, beneficial-ownership or control-person forms, identity-verification and anti-money-laundering forms, W-9 or comparable tax documents, electronic-banking agreements, merchant-service agreements, and other routine financial-institution documents. They may provide certified copies of governing documents and public filings.

Account maintenance and closure

They may update contact details, statements, security settings, operational users, transaction limits, linked accounts, beneficiaries where lawful and appropriate, compromised credentials, and other account-maintenance information. They may close accounts or products and transfer balances or relationships when consistent with Board policy and applicable restrictions.

3. Signature and Transaction Authority

Any one Authorized Financial Officer may sign ordinary account-opening, account-maintenance, card, merchant-service, treasury-service, and comparable documents unless the institution or Board requires a stricter method. Material transfers and higher-risk transactions should use two-person review or dual authorization when practical and when required by policy. No person may be the sole approver of that person’s own reimbursement, compensation, or other personally interested transaction.

4. Directors Who Do Not Receive Independent Banking Authority

The following directors approve and ratify this resolution but are not granted independent authority by it to open or close accounts, establish credit cards or other financial products, or add or remove authorized signers:

  • Christopher Andrew Hall Jr. — Chief Strategy Officer; Director
  • Firmina Jaictin Hinabe — Chief Programs Officer; Director
  • Christine Faith Lackey — Chair of the Board; Director

Their Board voting rights, fiduciary duties, oversight responsibilities, and access to financial reporting are not limited.

5. Corporate Cards and Limited Users

Cards and payment accounts may be issued only for legitimate Corporation purposes and must be supported by receipts or equivalent records. An Authorized Financial Officer may grant a person limited administrative, bookkeeping, payroll, reconciliation, cardholder, view-only, or payment-preparation access. Limited access does not confer authority to open or close accounts, establish financial products, borrow money, pledge assets, or alter the four Authorized Financial Officers.

6. Credit, Loans, Guarantees, and Security Interests

The four Authorized Financial Officers may apply for and administer ordinary corporate credit-card, charge-card, procurement-card, and working-payment products within Board-approved limits. No one acting alone under this resolution may incur material debt, execute a material term loan or line of credit, pledge substantial charitable assets, grant a material security interest, guarantee another person’s obligations, or execute a mortgage or comparable secured financing without separate written Board authorization. No personal guarantee by a director or officer is authorized or implied.

7. Internal Controls and Safeguards

  • Corporation funds must remain in accounts held in the Corporation’s legal name and may not be commingled with personal or for-profit funds.
  • Restricted gifts and grants must be tracked and used according to lawful restrictions.
  • Bank, card, merchant, and material financial accounts should be reconciled regularly.
  • Material transfers and disbursements should receive two-person review when practical.
  • Multi-factor authentication and secure credential practices should be used whenever reasonably available.
  • No person may approve a payment to that same person without independent review.
  • Banking, card, ACH, wire, deposit, merchant, and payment-approval records must be retained under the Corporation’s record-retention policy.
  • Suspected fraud, diversion, unauthorized access, or material financial irregularity must be escalated promptly.

8. Reliance by Financial Institutions

A bank, credit union, card issuer, merchant acquirer, payment processor, investment custodian, financial-technology provider, or other financial institution may rely on a certified copy of this resolution until written notice of amendment, replacement, or revocation is received. The President, Treasurer, Secretary, or another Authorized Financial Officer may certify its continuing effectiveness and provide supporting corporate records reasonably requested by an institution.

9. Ratification; Continuing Effect

Lawful prior actions consistent with the Articles, Bylaws, this resolution, and applicable law are ratified. This resolution remains effective until amended, superseded, or revoked by the Board. If a provision conflicts with the Articles, Bylaws, or mandatory law, the controlling authority governs and the remaining provisions continue to the fullest extent permitted.

10. Electronic Execution and Counterparts

This resolution may be executed in counterparts and by electronic signature. At the express authorization of each director, the typed “/s/” signature below is intended as that director’s electronic signature for this Board action. The Corporation will preserve this resolution and related approval records as part of its permanent governance records.
